Confidentiality and Non-Disclosure Agreements (CNDAs)

¾ÅÐãÖ±²¥ has created a series of templates for Confidentiality and Non-Disclosure Agreements (CNDAs). These agreements are legally binding undertakings intended to protect the University's personal and confidential information.

Agreements

These agreements can be used by ¾ÅÐãÖ±²¥. Signed copies should be retained by the unit's business officer (or equivalent) for the duration of the working relationship plus seven years.

Type of CNDA Used For
CNDA for Staff  Staff joining the University
CNDA for Contractors Interim and contractor staff working with the University
CNDA for Vendors  Vendors engaged via a contract for work or service provided to the University
Mutual CNDA for Vendors  Vendors when an exchange of personal and confidential information is necessary between ¾ÅÐãÖ±²¥ and the vendor as part of a negotiation, review or understanding of a service

Written Authorization

As articulated within the agreements, certain CNDAs require written authorization from the University in order to do some things with personal and confidential information (for example, to take such information off-campus). This written authorization must be secured from the owner of the data, according to the following table:
